Company registration process in Azerbaijan

in order to register a company in Azerbaijan you must first draft the company’s articles of association and the type of company’s activity , its goals,the number of shareholders,the amount of the company’s capital ,the share of each partner,the name of the CEOand the board of directors , ect should be in it .
it is also necessary to choose a unique name for the company a name that is not similar to any of the companies registered in Azerbaijan and well- known companies in the world.
in general , according to the laws of Azerbaijan ,it takes about 7 working days to register a company in this country.
Documents required for company registration in Azerbaijan:
the name of the company this name should consist of multiple names as well as alternative names, becouse the company registration office may not agree with the proposed name for various reasons.

Necessary information about the founder or founders of the company including:

1.first name and last name,Nationality,citizenship,passport of the applicant.

Limited liability Company (LLC)

The largest number of registered companies in Azerbaijan is limited liability companies and this company is formed for commercial purposes.limited liability companies can be formed as very small companies with at least one member

For the formation of this type of company ,there is no minimum capital mentioned in the law and as the name of this company shows,the responsibility of each member and partner will be according to the amount of their assets and shares in the company.

Also , none of the partners can transfer their shares to another person without the permission of all partners and if a person wants to leave the company,the other partners must take that person’s share alone or together.

Public joint stock company

This type of company is formed to carry out large bussiness activities and large capitals,whose shareholders,members and primary partners can be both real and legal persons.
this means that even other companies can register a new company as shareholders.
in this type of company, the contribution of each partner is divided in to shares and the amount of profit and loss, as well as the responsibility of each person will be according to the amount of shares.
in this of company , it is possible to transfer shares easily without permission from other partners, and even the company’s shares can be offered on the stock market.
this type of company requires the formation of a general assembly and collective decisions due to the large number of members and existence of large capitals. Also ,an audit commission and an inspection board are also foreseen in these companies.

Private joint stock company

The rules and regulations of a private joint stock company are similar to those of a public joint stock company with the difference that the private joint stock comapies is smaller and limited and the number of company members is less , Also the shares of this company can not be sold in the stockmarket and to other people and the shareholders must obtain the consent of other partners to transfer the shares.

Registration of a branch of a foreign company

Any foreign company that is legally registered in the country of origin and whose activities are in accordance with and laws and regulations of Azerbaijan and dose not harm the general principles and public order and econimy of this country can have a branch in this country.
Also, another type can be the merger of a foreign company withthe companies registered in Azerbaijan, and if there are necessary agreements between the shareholders of the two countries and if the activities and golas are similar , the two companies can be merged.

At least 3 people register a company
1.Founder
2.managing director (CEO)
3.Accountant
An Accountant in not needed at the beginning of the company registration , but after the company registration , an accountant is required.

Necessary forms for company registration

Preparation of 3 forms by the founder and CEO
1.submitting a power of attorney to a lawyer to do company registration
2.submission of years of employment form in the field of company registration.
3.submission of the confirmation form of the embassy of Azerbaijan in Iran.
In addition , aplace for the company’s work must be bought or rented to provide the company’s address in Azerbaijan, the comapy’s address must be provided along with the documents.

by submitting these 3 forms along with acopy of the first page of the passport and the address of the company the following 2 items will be processed:

1. company work permit with operating license.

2. work permit for other people in the country except the founder.

After submitting all the documents  to the relevant lawyer, it will take 20 to 25 working days to deliver the official documents and company stamp.

when the documents are delivered , company people must get a visa to enter Azerbaijan.
